1. General
Our sales are based on these general terms and conditions of sale. Deviating or additional terms and conditions shall only be accepted if they have been expressly agreed in writing.

2. Prices
Our offers and price lists are subject to change.

3. Delivery periods and dates
Delivery periods and dates are non-binding unless expressly agreed otherwise. Any claims in the event of delays or failure to deliver are excluded. A failure to deliver as a result of force majeure and non-culpable conduct on our part or on the part of our suppliers shall not entitle the customer to claim damages from us. Partial deliveries are permissible.

4. Dispatch
Shipment is at the expense and risk of the purchaser.

5. Complaints
The goods are to be inspected immediately upon receipt. Any defects are to be reported to us immediately. Later complaints will only be accepted if the defects were not recognizable despite proper inspection.

6. Warranties
In the event of demonstrable product defects notified in good time, replacements will be supplied free of charge or the equivalent value credited, irrespective of the terms of delivery. Further claims for damages, in particular consequential damages, are excluded in any case.

7. Terms of payment
Our invoices are payable within 30 days, unless otherwise agreed. For 3rd reminders, we charge Fr. 30. 00 Umtriebsentschädigung.

8. Reservation of proprietary rights
Delivered goods remain the property of Grünig & Elmiger AG until full payment of the agreed price.

9. Price lists
No liability is accepted for any incorrect or incomplete information.

10. Applicable law and place of jurisdiction
The contractual relationship is subject to Swiss substantive law. The place of jurisdiction is Lucerne, whereby the Commercial Court of the Canton of Lucerne is declared competent in the absence of any other agreement.
